Note: These terms are written to be readable. They are not legal advice. For custom project work, your signed proposal (SOW) is the controlling document and supersedes anything here that conflicts with it. Packs bought on this site at a listed price, like the QR packs, have no SOW: the Digital products and refunds section covers them.

Who we are

OtrovertLabs is a trade name of Venture Horizon LLC, a limited liability company organized under the laws of the State of Delaware, USA. References to "we," "us," or "OtrovertLabs" in these Terms mean Venture Horizon LLC.

Using this website

You are welcome to read the site, share links, and contact us. You agree not to:

  • Scrape or systematically copy the content
  • Attempt to disrupt, overload, or reverse-engineer any part of the site or chatbot
  • Use the site to transmit harmful code, spam, or unlawful content
  • Impersonate OtrovertLabs or misrepresent affiliation

All content on the site — copy, code, design, and brand marks — is the property of Venture Horizon LLC and protected by copyright and trademark law.

Project engagements

Custom project work is governed by a separate written proposal or statement of work (SOW) that specifies scope, price, timeline, deliverables, milestones, and payment terms. These Terms supplement that document. If a signed SOW conflicts with these Terms, the SOW controls.

Packs bought on this site at a listed price have no SOW. The Digital products and refunds section below covers them.

Fixed-price model

Projects are quoted fixed-price unless the SOW explicitly states otherwise. Scope changes requested after signing require a written change order documenting the new work, price, and timeline impact. We do not invoice hourly on fixed-price engagements.

Payment

Payment terms for project work are set in the SOW. Typical structure: a deposit to start, milestone payments during the build, and final payment on launch. Late payments may pause active work. Specifics always live in the signed SOW.

Packs are paid in full, up front, through Stripe.

Digital products and refunds

This section covers the fixed-price packs sold on this site: the QR packs on /qr. You pay the listed price on Stripe's checkout page, and we send you files by email. We do not print or ship anything. Pack prices are introductory and can change at any time. A change never applies to an order you have already placed.

Turnaround. We email your first proof, the full set of files for you to check, within the time listed for your pack, counted from the day your payment arrives:

  • Static Pack: 3 business days
  • Card Pack: 5 business days

If we are waiting on something from you first, like your logo or an answer to a question, the count starts when it arrives.

Your logo. We use the logo you send us. We do not design logos. If you do not send one, we make your files without a logo.

Destinations we refuse. We may refuse to make a code for a destination (the page or other content the code opens) that we judge unsafe, deceptive, or unlawful. If we refuse yours, we refund you in full.

Revisions. Each pack includes the revision rounds listed for it on /qr. A round is one set of changes you send us together, and we send back updated files. We quote any changes beyond your included rounds before we make them. Once your files are final, any included revision rounds you have not used end.

Refunds. We refund you in full if:

  • you cancel before we send your first proof;
  • we miss your pack's turnaround by more than 2 business days for a reason on our side (time we spend waiting on you does not count);
  • we cannot deliver a code that scans with a phone's built-in camera; or
  • we refuse the destination you gave us.

Once we have sent your first proof, cancelling alone does not get you a refund. Apart from the cases above, once we have sent your final files, the sale is final and there are no refunds. Your final files are the set you approve, the set we send after your last included revision round, or the latest set we sent you once 30 days pass with no reply from you. Refunds go back to the payment method you used, through Stripe. To ask for one, email hello@otrovertlabs.com from the address you ordered with.

Static codes do not expire. The codes in these packs are static: your link, contact details, or network is stored in the pattern itself. We do not host them, and nothing on our side sits between a scan and your content, so nothing we do can stop them working. A code keeps working as long as what it points to does. If your web address or Wi-Fi password changes, the code needs remaking.

Before you print. Scan a test print with your phone before you print in quantity. We do not cover printing costs.

The Changeable Code is not on sale yet. Its terms will be added here before it is.

Ownership of deliverables

On full payment, you own the final deliverables produced for you: for a project, the code, designs, written content, and hosting credentials; for a pack, the files we send you (the QR code, the card or flyer, and for the Card Pack the card image and contact file), to use, print, and edit as you like. OtrovertLabs retains ownership of any pre-existing tools, libraries, frameworks, templates, and general know-how used to build those deliverables. We may reference the work in our portfolio unless the SOW restricts it or, for a pack, you ask us not to.

Warranty disclaimer

This website is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the site will be uninterrupted, error-free, or secure.

Project deliverables carry only the warranties expressly stated in the signed SOW. Pack files carry only the promises in Digital products and refunds. No other warranties apply to paid work.

Limitation of liability

To the maximum extent permitted by law, liability for any claim arising out of or related to the website is limited to one hundred US dollars ($100). Liability for paid project work is capped per the signed SOW — typically limited to the fees paid in the three (3) months preceding the claim. Liability for a pack is limited to the price you paid for it.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.

Indemnification

Each party agrees to indemnify and hold the other harmless from third-party claims arising from that party's own intellectual property infringement, negligence, or breach of these Terms. The specific scope of indemnification for project work is set in the SOW.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last revised" date. Continued use of the site after changes take effect means you accept the updated Terms.
